Terms of Service

1. Acceptance of Terms

These Terms of Service constitute a binding agreement between you and Easy Computer Systems, LLC, an Ohio limited liability company, regarding your use of Buy Sell Tracker.

In these Terms, “Buy Sell Tracker,” “the service,” “we,” “us,” and “our” refer to Easy Computer Systems, LLC and the Buy Sell Tracker website and application. “You” and “your” refer to the individual who creates or uses an account.

If you use Buy Sell Tracker on behalf of a business or other organization, you represent that you are authorized to accept these Terms on its behalf. In that case, “you” also includes that business or organization.

Our Privacy Policy is incorporated into these Terms by reference. Additional posted policies, including any Refund Policy, may also apply to your use of the service.

2. Eligibility

Buy Sell Tracker is intended only for individuals who are at least eighteen (18) years of age and who have the legal capacity to enter into a binding agreement.

By creating an account or using the service, you represent and warrant that:

• You are at least eighteen (18) years old.
• You are legally able to accept these Terms.
• The registration information you provide is accurate and complete.
• Your use of the service does not violate applicable law or another agreement binding upon you.

Minors may not create accounts or use Buy Sell Tracker. If we learn that an account belongs to an individual under eighteen (18), we may suspend or terminate that account.

Availability

Buy Sell Tracker is currently intended for individuals and businesses located within the United States. At this time, the service is designed for U.S. users and may not be suitable for use in other countries due to differences in currency, tax regulations, accounting practices, payment processing, legal requirements, and other regional considerations.

We reserve the right to limit or deny account registration or access from locations where Buy Sell Tracker is not currently offered. Buy Sell Tracker currently supports U.S. currency and has been designed around U.S. business practices. International support may be considered in future versions but is not currently available.

3. License and Usage

Subject to these Terms and any applicable subscription requirements, Easy Computer Systems, LLC grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use Buy Sell Tracker for your own lawful internal business or personal reselling activities.

Buy Sell Tracker is licensed as an online service and is not sold to you. Your account does not give you ownership of the software, source code, website, application design, databases, trademarks, or other intellectual property associated with the service.

You may use Buy Sell Tracker only through the interfaces and functionality we provide. No rights are granted except those expressly stated in these Terms.

4. User Accounts

You must create an account and verify your email address before accessing protected areas of Buy Sell Tracker.

You agree to:

• Provide accurate, current, and complete registration information.
• Keep your email address and other account information current.
• Create and maintain a strong, confidential password.
• Use only your own account unless we expressly authorize another arrangement.
• Notify us promptly if you believe your account has been compromised.

You are responsible for activity conducted through your account, including activity performed by anyone who obtains access through your credentials, except to the extent caused by our failure to use reasonable safeguards or as otherwise required by law.

We may require additional verification before restoring access, changing account information, responding to sensitive requests, or taking other actions affecting an account.

5. Free Trial Offer

Buy Sell Tracker may offer eligible new users a fourteen (14)-day free trial. No payment information is required to begin the current free trial offer.

Because payment information is not collected when the trial begins, the trial does not automatically convert into a paid subscription. You must affirmatively choose to subscribe and provide an accepted payment method to continue paid access.

Unless otherwise stated, free trials are limited to one per person, business, household, or other reasonably related group. You may not create multiple accounts, use false information, or take other steps to obtain repeated free trials.

We may modify, limit, suspend, or discontinue free-trial offers at any time. Trial duration, eligibility, included features, and promotional terms may change for future users. Changes will not retroactively shorten an active trial unless needed to address fraud, abuse, security concerns, legal requirements, or service discontinuation.

6. Pricing and Payments

The standard Buy Sell Tracker subscription is currently offered at nine U.S. dollars ($9.00) per month, unless a different price or promotional offer is clearly disclosed before purchase.

Unless otherwise stated, all prices displayed on the Buy Sell Tracker website are in United States Dollars (USD).

Recurring Billing

When you choose to subscribe, you authorize the applicable payment processor to charge the disclosed monthly subscription fee and any applicable taxes to your selected payment method on a recurring basis until cancellation or termination.

Payment Processing

Payments may be processed by a third-party payment provider. Your payment is also subject to that provider's applicable terms and privacy practices. We do not intend to store complete payment card numbers or security codes on our own servers.

Failed Payments

If a payment is declined, reversed, disputed, or otherwise not received, we may retry the payment, restrict paid features, suspend the account, or terminate the subscription after providing any notice required by law.

Cancellation

You may cancel a monthly subscription through available account settings or by following the cancellation instructions we provide. Unless otherwise stated, cancellation takes effect at the end of the current paid billing period, and access may continue until that period ends.

Refunds

Subscription fees are subject to the Buy Sell Tracker Refund Policy. Unless required by law or expressly stated in that policy, subscription charges are generally non-refundable and are not prorated for partial billing periods.

Price Changes

We may change subscription prices or billing terms. When a price change affects an existing paid subscription, we will make reasonable efforts to provide advance notice before the change becomes effective. Your continued subscription after the effective date constitutes acceptance of the updated price.

Taxes

You are responsible for applicable sales, use, excise, or similar taxes associated with your subscription, excluding taxes based on our net income.

7. Support Services

Buy Sell Tracker may provide limited support through available support channels. Support availability, response times, methods, and scope are not guaranteed unless separately agreed in writing.

Free Trial Support

Support provided during a free trial is limited primarily to:

• Login and account-access assistance
• Email-verification and password-reset assistance
• Basic navigation questions
• Help locating or understanding existing application features
• Reporting suspected technical problems

Free support does not include data entry, bookkeeping, tax preparation, accounting advice, business consulting, personalized training, custom reports, custom programming, system integration, feature development, or recovery of information that was never successfully saved to the service.

Support for paid subscribers may include additional assistance as described on the website or in the application, but no service level, response time, or outcome is guaranteed unless expressly stated in a separate written agreement.

8. User Data

Ownership

As between you and Easy Computer Systems, LLC, you retain ownership of the inventory, sales, expense records, photographs, notes, and other content you enter or upload to Buy Sell Tracker (“User Data”).

Limited Permission to Operate the Service

You grant us a limited, non-exclusive, worldwide license to host, store, copy, process, transmit, back up, display, and otherwise use User Data only as reasonably necessary to provide, secure, maintain, support, and improve Buy Sell Tracker, comply with law, and enforce these Terms.

Accuracy and Lawful Use

You are responsible for the accuracy, completeness, legality, and appropriateness of User Data. Calculations, dashboards, and reports depend on the information you enter and may be inaccurate if that information is incomplete, delayed, duplicated, or incorrect.

Your Own Records and Backups

You are responsible for maintaining independent copies of important business, inventory, sales, expense, tax, and supporting records. You should not rely on Buy Sell Tracker as the sole copy of information that you are legally or operationally required to maintain.

Although we may use backups and other recovery practices, we do not guarantee that any particular User Data can be restored, recovered, retained indefinitely, or exported in a particular format.

No Professional Advice

Buy Sell Tracker is a record-keeping and business-organization tool. It does not provide accounting, bookkeeping, tax, legal, financial, investment, or other professional advice. Reports and calculations should be independently reviewed before being used for tax filings, financial decisions, legal compliance, or other important purposes.

9. Acceptable Use and User Responsibilities

You agree not to:

• Use Buy Sell Tracker for unlawful, fraudulent, deceptive, abusive, or harmful activity.
• Enter, upload, or transmit content that infringes another person's rights.
• Upload malware, malicious code, corrupted files, or harmful material.
• Attempt to gain unauthorized access to the service, another account, server, database, network, or system.
• Probe, scan, test, bypass, disable, or interfere with security or authentication measures.
• Reverse engineer, decompile, disassemble, copy, modify, translate, or create derivative works from the service except where such restriction is prohibited by law.
• Scrape, crawl, harvest, index, or access the service through unauthorized automated means.
• Overload, disrupt, degrade, or interfere with the service or another user's access.
• Use another person's credentials or impersonate another person or organization.
• Sell, rent, sublicense, transfer, assign, or commercially exploit access to your account.
• Remove or alter copyright, trademark, ownership, or other proprietary notices.
• Use the service to store information that you do not have the right to possess or process.

You are responsible for using Buy Sell Tracker in accordance with laws and requirements applicable to your own resale business, including tax, licensing, record-retention, consumer-protection, and marketplace obligations.

10. Account Security

We use reasonable administrative, technical, and organizational safeguards designed to protect the service and user accounts. However, no internet-based system can guarantee absolute security.

You are responsible for maintaining the confidentiality and security of your login credentials. You must not share your password or allow an unauthorized person to use your account. You should use a strong, unique password and protect the email account associated with Buy Sell Tracker.

If you believe your password, email account, or Buy Sell Tracker account has been lost, stolen, accessed without permission, or otherwise compromised, you must change your password and notify us promptly.

To the fullest extent permitted by law, Easy Computer Systems, LLC is not responsible for loss, damage, disclosure, alteration, or other consequences resulting from unauthorized access caused by your failure to protect credentials, your sharing of account access, compromise of your email account or device, or another act or omission outside our reasonable control.

11. Account Suspension and Termination

Protective Suspension

We may temporarily restrict or suspend access when we detect or reasonably suspect unauthorized access, repeated failed login attempts, fraud, abuse, malware, payment problems, violations of these Terms, risks to other users, or other activity that may threaten the service or account security.

Account suspension may occur without advance notice when we believe immediate action is reasonably necessary. Suspension is a protective measure and does not mean that we have determined the account owner engaged in wrongdoing.

We may require identity or account-ownership verification before restoring access. We are not responsible for temporary loss of access resulting from a reasonable security suspension, except as required by law.

Termination by You

You may stop using Buy Sell Tracker and may request cancellation or account closure through available settings or support channels. Subscription cancellation and account deletion are separate actions unless expressly stated otherwise.

Termination by Us

We may suspend or terminate an account, subscription, or access to all or part of the service if you violate these Terms, fail to pay applicable fees, create legal or security risk, misuse the service, or if continued service is no longer practical.

Where reasonably practical, we may provide notice or an opportunity to correct a violation. We are not required to provide advance notice where immediate action is needed for security, legal, fraud-prevention, or operational reasons.

Effect of Termination

Upon termination, your license to use the service ends. We may delete or restrict access to User Data in accordance with our Privacy Policy, retention practices, and legal obligations. Provisions that by their nature should survive termination will remain in effect, including ownership, payment obligations, disclaimers, limitations of liability, indemnity, limitations periods, and governing-law provisions.

12. Availability, Modifications, and Discontinuation

Buy Sell Tracker is provided on an “as available” basis. While Easy Computer Systems, LLC intends to operate and maintain the service, we do not guarantee uninterrupted operation, error-free performance, any specific uptime percentage, or availability for any particular period.

Access may be interrupted or limited by maintenance, updates, defects, hosting issues, equipment failures, internet outages, security events, third-party service failures, legal requirements, or circumstances beyond our reasonable control.

We may add, modify, limit, replace, suspend, or remove features, reports, interfaces, support options, storage limits, or other parts of Buy Sell Tracker as the service evolves.

Easy Computer Systems, LLC reserves the right to suspend, discontinue, retire, or permanently shut down all or any part of Buy Sell Tracker at any time, with or without notice. We make no promise that the service, any feature, any pricing arrangement, or any free-trial offer will remain available indefinitely.

If we decide to permanently discontinue the entire paid service, we will make reasonable efforts to provide advance notice to active subscribers whenever practical. Circumstances may arise in which advance notice or continued data access is not possible. You remain responsible for maintaining independent copies of important records.

13. Internet Delays and Third-Party Systems

Buy Sell Tracker depends on internet access, hosting providers, email systems, payment processors, domain services, network infrastructure, browsers, devices, and other third-party systems that we do not fully control.

The service may be affected by delays, interruptions, delivery failures, transmission errors, incompatibilities, or other limitations inherent in electronic communications and third-party technology. We are not responsible for delays or failures caused by your internet connection, device, browser, email provider, or other systems outside our reasonable control.

14. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, BUY SELL TRACKER AND ALL RELATED WEBSITES, APPLICATIONS, FEATURES, CALCULATIONS, REPORTS, CONTENT, SUPPORT, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.

EASY COMPUTER SYSTEMS, LLC DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, COMPATIBILITY, AND RESULTS.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, CURRENT, OR SUITABLE FOR YOUR PARTICULAR BUSINESS; THAT DEFECTS WILL BE CORRECTED; THAT DATA WILL NEVER BE LOST; OR THAT CALCULATIONS, REPORTS, OR OTHER OUTPUTS WILL BE ACCURATE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EASY COMPUTER SYSTEMS, LLC AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, RECORDS, OR USE, ARISING OUT OF OR RELATED TO BUY SELL TRACKER.

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATION, STATUTE, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF EASY COMPUTER SYSTEMS, LLC FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• The subscription fees you paid to Buy Sell Tracker during the three (3) months immediately preceding the event giving rise to the claim; or
• Twenty-five U.S. dollars ($25.00).

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.

16. User Warranties and Indemnity

You represent and warrant that:

• You have the right and authority to enter and upload User Data.
• Your User Data and use of the service will not violate law or another person's rights.
• You will not use reports or calculations as a substitute for required professional advice.
• You will comply with laws and obligations applicable to your reselling activities.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Easy Computer Systems, LLC and its owners, members, managers, employees, contractors, service providers, and agents from claims, damages, losses, liabilities, judgments, penalties, costs, and reasonable attorneys' fees arising out of or related to:

• Your User Data
• Your use or misuse of Buy Sell Tracker
• Your violation of these Terms
• Your violation of applicable law
• Your infringement or violation of another person's rights
• Your resale business, transactions, products, taxes, customers, or marketplace activities

We reserve the right to control the defense and settlement of a matter subject to indemnification. You agree to reasonably cooperate in that defense.

17. Limitations Period

TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO BUY SELL TRACKER OR THESE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION FIRST ACCRUED. OTHERWISE, THE CLAIM IS PERMANENTLY BARRED.

This provision does not shorten a limitations period where doing so is prohibited by applicable law.

18. User Comments, Feedback, Ideas, and Submissions

You may choose to provide comments, reviews, ideas, feature requests, suggestions, designs, concepts, improvements, or other feedback about Buy Sell Tracker (“Feedback”).

Feedback is voluntary and is not confidential unless we expressly agree otherwise in writing. You grant Easy Computer Systems, LLC a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right to use, reproduce, modify, publish, develop, commercialize, and otherwise use Feedback for any lawful purpose without compensation, attribution, or obligation to you.

You represent that you have the right to submit the Feedback and that our use of it will not violate another person's rights. Nothing in this section transfers ownership of your private business records or inventory data to us.

19. Force Majeure

Easy Computer Systems, LLC will not be liable for delay, failure, interruption, data loss, or inability to perform caused by events beyond our reasonable control.

Such events may include natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labor disputes, government action, court orders, utility failures, internet or telecommunications outages, hosting failures, cyberattacks, denial-of-service attacks, security incidents, failures of third-party providers, or other events beyond our reasonable control.

20. Changes to These Terms

We may update these Terms to reflect changes in Buy Sell Tracker, pricing, features, business practices, service providers, or legal requirements.

When changes are made, we will update the “Last Updated” date at the top of this page. If a change materially affects existing users, we may provide additional notice through the application, website, or email.

Your continued use of the service after updated Terms become effective constitutes acceptance of the updated Terms. If you do not agree to an update, you must stop using the service and cancel any active subscription.

21. Governing Law and Venue

These Terms and any dispute arising out of or related to Buy Sell Tracker will be governed by the laws of the State of Ohio, without regard to conflict-of-law rules.

Unless applicable law requires otherwise, you agree that any lawsuit or judicial proceeding relating to the service or these Terms will be brought exclusively in a state or federal court of competent jurisdiction located in the county in Ohio where Easy Computer Systems, LLC maintains its principal place of business, and you consent to personal jurisdiction and venue in those courts.

22. General Terms

Entire Agreement

These Terms, the Privacy Policy, the Refund Policy, and any other policies or order terms expressly incorporated by reference form the entire agreement between you and Easy Computer Systems, LLC regarding Buy Sell Tracker.

Severability

If a provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary or removed, and the remaining provisions will remain in effect.

No Waiver

Our failure to enforce a provision is not a waiver of that provision or our right to enforce it later.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or transfer of the service.

No Third-Party Beneficiaries

These Terms do not create rights for any person or entity other than you and Easy Computer Systems, LLC, except where expressly stated.

Section headings are provided for convenience and do not affect interpretation.

Electronic Communications

You consent to receive agreements, notices, disclosures, and other communications electronically, including by email, through the application, or by posting on the website.
